BOARD oF DIRECTORS

1.0 PURPOSE AND OBJECTIVES

The Board of Directors of the Seventh Day Church of God (Reformed) Incorporated, has been assembled to act on behalf of the congregation (locally and overseas) to ensure the Mission of the Church is being carried out through the relevant Assemblies and Auxiliaries, and that all activities/undertakings are executed decently and in order.

2.0 COMPOSITION AND MEMBERSHIP

The Board shall consist of seven (7) members which should include the Overseer (who shall serve as the Chair of the Board), the Assistant Overseer, representative(s) at the Pastoral and Evangelist levels. The Board shall be supported by a non-voting Recording Secretary.

  4. Pastor Derrick Hall – Director
  5. Pastor Devon Mayne – Director
  6. Evangelist Jacqueline Eccleston – Director
  7. Evangelist Coleen Francis Bryan – Director

     Evangelist Monica Sinclair – Recording Secretary

A Director may appoint a proxy to attend and vote on his/her behalf in the event of absence. This nominee shall be formally registered (that is in writing) at the Church’s registered headquarters, not less than forty-eight (48) hours before the date/time of convening the meeting.

3.0 ROLES AND RESPONSIBILITIES

The Directors of the Board shall be responsible for providing spiritual oversight, setting strategic direction, financial stewardship, compliance with legal and regulatory requirements, which shall be grounded through sound principles of:  

  • Governance
  • Financial Management
  • Decision Making
  • Leadership

The Board will also consider matters of appeal and/or disciplinary cases.

4.0 MEETING PROCEDURES

A meeting of the Board of Directors shall be convened at least 3 times per year, or more frequently as the need arises. The meeting shall be convened with a quorum of 5 persons.

4.1 Confidentiality:

Directors of the Board shall be charged with a high level of confidentiality regarding all matters discussed during the Board meetings.

4.2 Records

A record of all matters discussed shall be taken in the form of Minutes and shall be confirmed for all Meetings.

5.0 TERM LIMIT/DISSOLUTION OF THE BOARD

The Board shall remain in place for a period of three (3) years.  Upon dissolution, at least three (3) members shall be retained to comprise the newly constituted Board.  

The Board shall be dissolved at the end of its three (3) year term. Board members and other interested members will make themselves available for re-appointment.  At this point, the Chairman or Executive responsible for the Church, will then appoint a new Board.
